GENERAL
1. Introduction
1.Invest Into Wine is a brand of Sure Holdings Ltd. Sure Holdings is a company registered in Labuan, Malaysia (company number LL04761), whose registered office is at Brumby Centre, Lot 42, Jalan Muhibbah, 87000 Labuan F.T. Malaysia.
2. We provide private wine investors with advice on building wine portfolios and other related services through our web site, currently found at the Internet address www.investintowine.com. We administer the site from our offices in Malaysia, Singapore and the United Kingdom.
3.This is a guide on how to make the most out of our service. (“we” or “us”) and members of the site (“Members”, “you” or “your”) and apply to your access to and use of the site, online portfolio and other services we provide to you, including without limitation price data and valuations, indices, product codes, charts, assessments, reports and analyses (together form our “Licensed Property”).
4. If you ever need us you can contact our main email address info@sureholdings.com - Someone will always check it on a daily basis. Kindly save it in your computer and phone contacts.
2. Service
1.Sometimes we need to change our service to improve it for you or we may need to develop new ways to keep in line with modern technology which causes us to work in a slightly different manner. We would never make changes to make your life harder, we are always looking for ways to improve, so please give us the benefit of the doubt if you see something wrong. Just contact us on email if you ever need to understand something in more detail.
2. We use email as our main form of communication, It’s important to make sure you are signed up to our mailing list, in case you do not receive any of our updates on changes in our service that may affect your wines, your charges or access to your wine portfolio.
3. Due to the nature of our business, managing your wine investment portfolio requires us to know our customers to prevent fraudulent money laundering transactions. If any of your contact information changes, it is very important for us to be notified. We will send out a yearly request for an update of your contact information and identification. We are unable to offer our services to customers who decline to provide their correct contact information.
MEMBERSHIP
3. Site Membership
1.Anyone can browse our website without being a client of Sure Holdings, but to access certain parts of the site and to use online portfolio and the other services we provide; you must have a wine portfolio purchased through us.
2.If you make a purchase with us, please ensure you have given us the correct personal information. We rely on you to give us notification if your email, telephone or address changes.
3.If anything happens to you and someone else needs to contact us to gain access to your wine portfolio, it’s also good to give us your next-of-kin contact information.
4.If for any reason you decide not to use our services, sell your wines, or refuse to pay outstanding charges on your account, we feel that it’s only fair to suspend the access to our website. If you feel that we have done this in error and have a genuine reason such as why you couldn’t settle your bill with us, then get in touch immediately so we can resolve your account and get it up and running again.
4. Security
1.We will provide you with a username and password for you to access your portfolio online and the other services we provide. Keep your password safe because if it falls into the wrong hands, then someone else might be able to access your portfolio and tamper with your wine portfolio details. Please don’t blame us if someone hacks your account, we take security on our site very seriously and it is protected with SSL encryption which is the industry standard globally.
2.Please let us know immediately if you suspect that some or all of your security information is known by any unauthorized person, so that we can take appropriate action to prevent them from accessing your account. We can change your password or lock your account within an hour of receiving your email, providing it’s within our time zone.
THE SITE AND ONLINE PORTFOLIO
5. Site Content
1.The information and prices on our website are provided by our team and we update the prices at least once a month. To determine a value of a wine price, we analyse pricing info from sellers around the world. We try to find sellers who are genuine and have the wine available. A seller’s price however does not mean that’s the buying price. If you are buying or selling a wine, we will always seek the best price for you at the time.
2. Prices are inclusive of any margins set by us, we have to make money to run our business. However, we charge the the lowest margins in the world for wine investment consultants. Our priority is that you make a good return, profit comes second to us.
3.Sure Holdings retains full control over the website and the content of the site may change from time to time. We will do our best to ensure the site is updated with the latest content to enhance and give you the best service. When making investment decisions, information is power.

Our information portal captures all the latest wine investment information and has also a subscription based service with an online wine investment course that has fees attached. If you email us directly to buy or sell wine, we purchase the wine from a supplier, merchant, negociant or member who wants to sell it and we sell the wine to you. Below is a guide on the fees and procedures involved to make it a seamless process for you.
SELLING WINE
7. Making an offer to sell wine

You may put your wine on the market for sale by sending an email to us. Please email us in English and we will ask you to confirm via email before placing your wine for sale.

You may place your wine for sale through your profile on our website. Before placing your wine for sale, the site will ask you to confirm placing your wine for sale.

Once your wine is put for sale either through the site or email, it can be cancelled by you at anytime. If however we advise you that a buyer has confirmed the purchase of your wine between the time you cancel, then we have to honour the buyer. This is to maintain our reputation. Without our reputation, we do not have credibility and our reputation is very important to the success of you finding buyers in the future for other wines you may wish to sell with us.

We will always sell your wine in UK pounds because that is the most active currency in the fine wine investment market.

If you wish to sell your wine in Euro Dollars, kindly specify in your email when you confirm a sale to us. Euros is the second most used currency around the world for fine wine.

We can not sell your wine in any other currency because it could risk you losing potential buyers.
8. Transaction fee
-
We will add a 1% transaction fee for each contract of sale made between you and us, where you are the seller.

This transaction fee is 1% of the wine sales price and covers the cost of our team liaising with and monitoring the logistics of moving the wine out of your warehouse account to the new buyer.

The transaction fee does not include any charges for delivery or warehouse charges. We often try to bear the cost of these charges if they are minimal, to make the service more seamless for you.
10. Payment to you from sale of your wine

In relation to each sale:
a. We will issue you a credit note for the wine sales price minus our transaction fee.
b. Upon receipt of the payment for your wine from the buyer, we need your bank account details or your confirmation the bank details we have on file are correct.
c. If we don’t have a typed out bank details form from you, then we can’t send your funds.

We will charge you for any duty, value added tax and/or other sales taxes and/or any customs, import or export duties we are liable to pay on any wines we sell on your behalf.

We ask that you ensure any outstanding storage, insurance, management fees pertaining to your account are paid before we sell your wines. Storage fees are payable on an annual basis effective from the date you bought the wine. No pro-rate of storage charges can be done due to warehouse billing which is out of our control.

We will pay you for the wine minus our transaction fee and any amounts we charge you specified at the time of the sale.

In relation to each payment:

Payment will be remitted to a bank account in your name only. This is to prevent money laundering.

All bank charges must be deducted from the payment.

Payment will be remitted to your account in the currency stipulated in the credit note.

If payment is to be made in another currency, bank charges and exchange rate differences may be incurred, which is out of our control once we have transferred your payment. Our bank does have preferred business rates for converting funds, therefore it may be financially economical for you to request us to convert your funds before sending them to you.
BUYING WINE
11. Placing a bid to buy wine
1.You may buy wine via telephone, email or through our website.
2.We will hold your credit card to cover the cost if we don’t receive payment in the agreed timeframe.
3.We will specify the currency in which you buy the wine.
4.Withdrawal or cancellation is prohibited for any wine purchase. Fine wine is an expensive item and we can not undertake risk that a client can place an order and cancel the following day.
5.Whenever you buy wine from us, we take it that:
a. All information provided by you in relation to the bid is accurate, complete and up-to-date;
b. You have the necessary funds to be able to buy the wine you have requested to buy.
12. Accepting your bid to buy
1.We will send you an invoice by email accepting your request to buy, irrespective of whether you receive that email. We can't be responsible for emails not getting to you, as this is out of our control. It is up to you to follow up and ask us for the invoice, if you have not received it.
2.Each invoice of sale is a binding agreement whereby you honor to pay us within the agreed timeframe. Usual payment terms are immediate - meaning payment must be received within 5 working days unless you have requested for a different timeframe that has been approved by our Financial Controller.
3.In relation to each invoice of sale, we warrant to you that:
a. We will supply you with wine that meets the description, condition and price of the wine you have requested to buy.
b. We will have full legal and beneficial title to the wine we supply to you, free from all charges, liens and other third party rights and encumbrances.
c.If for any unforeseen circumstances we can not supply you with wine that meets the description and condition of the wine you have requested to buy, you will be refunded in full, inclusive of any bank charges incurred by you and we can not be held liable thereafter.
13. Administration fee

We will charge you an Administration fee for each contract of sale made between you and us where you are the buyer. The Admin fee is 1% of the wine’s sale price to cover our costs of liaising with delivery and warehouse personnel to ensure your wine is allocated to you correctly.
14. Title
-
Ownership of the wine passes to you at the time we receive from you full payment in cleared funds for the wine plus any charges related to the purchase of the wine.

Wine will be placed at our designated warehouses in a sub account of your name under Sure Holdings’ main account. A warehouse report by itself refers to the presence of all fully paid for wines currently being held in the warehouse. Only wines that have been fully paid for can be allocated to you and be reflected in your warehouse report and online portfolio.

You grant us permission at any time to enter the warehouse where the wine is or may be stored in order to inspect it, or, where your right to possession has terminated, to recover the wine.

Risk in the wine passes to you when:
a. You collect the wine from the warehouse or you sign a declaration that you have collected the wine.
b. We deliver the wine to you, or you sign a declaration that we have delivered the wine.
15.1 Payment for wine from Existing Clients

In relation to each invoice of sale we will charge you:

Our admin fee of 1% of the total wine purchase price

2. We will invoice you for the full amount when you request to purchase the wine via telephone, email or our website.
3. You must pay us for the wine, our transaction fee, storage fee, insurance fee if applicable and any amounts we charge you within the payment terms.
4. Payment terms are 5 working days unless otherwise agreed upon.
5. Delayed payment is liable for late charges of 5%. For each subsequent month of delayed payment, 5% will be charged. Payment will be auto- debited from your credit card.
6. Once payment has been made, please notify us via email. Your confirmation must have a bank Reference number to confirm that the payment has been made. If a screenshot from your online banking is provided to us, it must contain confirmation the payment has been effected and a transfer reference number must be shown on this confirmation.
7. Payment received should include all bank charges. We need to debit your credit card for any shortfall of the invoice amount.
8. As a goodwill gesture, we will absorb any shortfall that is less than 5 GBP.
9. The payment must be remitted to our account in the currency stipulated in the invoice. We can only record receipt of your payment net of currency exchange rate differences and bank charges incurred..
15.2 Payment for wine from NEW CLIENTS

For your First Trade with us, a deposit amount will be auto-debited from your credit card. This deposit amount will equate to 5% of the invoiced amount.

The auto-debit of your credit card will occur within 24 hours of bid placement.

The remaining payment will then be made via wire transfer within 5 working days unless otherwise agreed upon.

The remaining payment will be auto-debited from your credit card if we do not receive the payment within 5 working days of the invoice date or the agreed payment.

Once payment has been made, please notify us via email. Your confirmation must have a bank Reference number to confirm that the payment has been made. If a screenshot from your online banking is provided to us, it must contain confirmation the payment has been effected and a transfer reference number must be shown on this confirmation.

After the successful payment of your first wine purchase with us, we will issue an official receipt to you. You are now officially an affiliated client of Invest into Wine with Sure Holdings. You will now have full access to all our benefits and our full range of services offered. We welcome you with open arms.

Moving forward, all your subsequent payment for new wines will now be done via bank wire.
TRANSFER OR TERMINATION OF WINE PORTFOLIO MANAGEMENT SERVICES
16. Handling Charge

if you want to transfer your wine out from our account or having it removed from our wine portfolio management services, we will charge you a handling fee of 5% of the current value of the wine, based on the current market value of the wines found in our website.

This charge does not apply if we are selling your wines on your behalf.

The reason why we charge a handling charge is because we need to coordinate all logistics to ensure a smooth transition of your wines out of our warehouse. Your investment wines are rare assets so we treat them with utmost care and respect.

If you wish to collect your wines from the warehouse personally, please write to us via email and we will confirm with an email the date your wines are ready for collection after liaising with the warehouse.

The normal time frame that the warehouse allows is 7 days from confirmed date for personal pickup, so please do so within the 7 days of confirmed date.

If for any circumstances you couldn’t pick up your wines within the 7 days of confirmed date, then your wines will be placed back in care by the warehouse. Therefore, storage and insurance costs will resume as before. These are warehouse rules and it’s out of our hands.

If you wish to deliver your wines to a particular address, please let us know via email. We will then revert with an email to you confirming when the wine is ready for delivery. Delivery of the wine is usually within 21 days. We will have to charge you for delivery charges as it involves careful logistics planning.

It is advisable that you enquire about the delivery charges from us so you have a ballpark figure of how much the delivery charges will amount to beforehand.

If you do not accept delivery or we are unable to deliver, we will charge you for all costs we incur as a result, including transportation, storage, insurance and re-delivery costs.

The warehouse can only release or deliver wines to you providing all charges on your account have been paid in full.
17. Payment of Handling Charges
1.Payments related to delivery or handling charges will be auto-debited from your credit card on the date stipulated on the invoice presented to you unless you specifically express in writing requesting for an alternative payment arrangement.
2.Late payment charges of 15% Per Annum on a pro rata basis will be levied if payment is not / cannot be received within 10 days.
3. However, sometimes we do understand that there are unforeseen circumstances that contributes to late payment. So we hope that you will request for a different timeframe that has been approved by our Financial Controller.
4.If you find any discrepancies on invoice or official receipt, please feel free to email and notify our accounts department within 7 days of receipt. If you didn’t inform us, we will safely assume that all documents are in order.
WINE STORAGE & MANAGEMENT FEES
18. Storage Fees and Condition report charges

Every quarter we send out invoices for storage. However the invoices you receive are for yearly storage charges. The quarterly billing simply allows us to create a bulk of invoices for ease of administration instead of billing every month for purchases made in previous years.

Condition reports will occur and be charged whenever you purchase a wine with us.

These reports will be repeated on a wine every 10 years in storage.
19. Management Fee and managing your wine portfolio
The management fee is 0.5% of the wine’s current market value charged on a yearly basis. Management services provided include but are not limited to:
•Paper audits of your wine to verify the records of the warehouse match those listed on your portfolio.
•Regular physical audits at the warehouses.
•Generating and checking Warehouse reports.
•Payment of storage and insurance fee to warehouse.
•Updates on wine pricing including monthly wine valuations.
This service guide outlives the management of your fine wine portfolio with Sure Holdings Ltd. Upon your purchase of any wine with Sure Holdings, this service guide encompasses the agreement between you and us to manage your wine. This guide is set out to protect both parties to ensure the continuation of the service and that your wine is protected and dealt with in the most professional manner with the interests of long term cellarage of fine wine.
The storage of your wine portfolio in the correct manner enables the ability to re-sell your wine later on at the best price. Because fine wine is a wasting asset, there can be no guarantees on the quality of a wine over a long period of time. This is a risk that you undertake when making an investment in wine.

PAYING IT FORWARD PROGRAM
21. Specific Terms & Conditions
1.To enjoy any incentives offered by our Paying It Forward Program, You must be holding a fine wine portfolio with Sure Holdings which includes our wine management services.
2.Referral fees earned will be issued in the form of a credit note which you can use to offset purchases of new wines.
3.All other fees i.e. storage, insurance, management, delivery and transaction cannot be offset with the referral fees unfortunately.
4.Referral fees can not be paid in Cash.
5. Sure Holdings must have been introduced to the referee by the referrer because we don’t like to spring any rude shocks on your referees if they are not aware.
6.The referral fees that you earn will be credited in the same currency as the currency invested by your referral.
7.Referral fees earned must remain in the currency and we are unable to convert fees to other currencies of your choice.
ACCOUNTING
22. Invoicing and Payment of Referral Fees

We hope that you will honor the total sum in the invoices issued by our Accounting department.

We will issue your referral fees earned in the form of a credit note to you whenever your referee buys wines with us. You can then use this credit note to offset your next wine purchase for your own portfolio.
23 Failure to Pay

All payments made by you or from us will be made in the currency we had agreed upon.

Since we are in a working relationship, we hope that you will honour all your payments without any deductions that we have not agreed on..

PROPERTY INVESTMENT
24. Property Investment
1.Properties or placements may only be reserved by Clients with a valid credit card.
2.A non-refundable Reservation Fee applies. Amount varies according to the project.
3.Each property investment comes with its own set of Member Services which will be made available to interested Clients upon request.
INDEMNITY
25. Indemnity
1.Sure Holdings believe in having a good working relationship with each of our clients therefore we hope that you will not hold us responsible for any costs, damages, losses and expenses incurred.
2. If you have any questions at all, please let us know and we are more than happy to help you at the best of our ability within our capacity.
